These terms apply to your access to the ucake website, API documentation, sandbox tests and business discussions about payment technology cooperation.

This is a website-facing version. Formal merchant onboarding, fees, settlement, SLA, risk controls, payment cooperation, data processing and liability limits should be governed by signed written agreements.
Policy content
1. Acceptance and scope
- By accessing the ucake website, reading API documentation, submitting inquiries, using sandbox or discussing payment technology cooperation, you understand and agree to these terms.
- These terms apply to website content, documentation, testing environments, business communications and cooperation assessment stages.
- Formal merchant onboarding, fees, settlement, SLA, risk control, data processing and liability boundaries are governed by signed written agreements.
2. Service positioning
- ucake provides payment technology, API documentation, bank connections, virtual accounts, dynamic QR, collection notifications, payout APIs and related technical support.
- Unless a formal agreement states otherwise, website content is not banking service, licensed financial service, legal advice, tax advice or investment advice.
- Product capabilities, bank coverage, launch timing, API fields, pricing and availability may change based on partners, regulation, technology or commercial confirmation.
3. Merchant eligibility and review
- Before formal cooperation, merchants must provide true, accurate and complete company materials, business descriptions, contacts, website/app information and compliance review materials.
- We may accept, reject, suspend or terminate an integration request based on risk, compliance, partner requirements or business fit.
- Merchants must ensure their business, transactions, goods, services, funds and use cases comply with applicable laws and partner rules.
4. Accounts, keys and API security
- MerchantId, CompanyId, API keys, appSecret, callback URLs, sandbox credentials and production credentials may only be used by authorized personnel and systems.
- Merchants should protect credentials with access control, key rotation, environment separation, audit logs and abnormal activity monitoring.
- Risks caused by leakage, misconfiguration, sharing or improper custody of credentials are borne by the merchant.
- If credential leakage, abnormal API calls or suspected attacks are detected, notify ucake immediately and cooperate on reset, suspension or investigation.
5. API documentation and sandbox
- API documentation, code examples, field descriptions and error codes help developers understand integration but may not cover every production scenario.
- Sandbox data is for testing only and does not represent production bank results, transaction timing, risk rules or fund processing.
- Before go-live, merchants should test signatures, callbacks, idempotency, retries, abnormal statuses, timeouts, reconciliation and security.
- Sandbox and documentation may not be used for stress attacks, scraping, reverse engineering, competitive analysis or any purpose outside authorized scope.
6. Permitted and prohibited use
- You may use the website, APIs and materials only for lawful business evaluation, technical integration and authorized payment technology cooperation.
- Prohibited uses include fraud, money laundering, terrorist financing, gambling, illegal adult content, scams, fake transactions, unauthorized financial activity, infringement, sanctions or regulatory violations.
- You may not bypass risk controls, security, limits, identity checks, bank rules or partner restrictions.
- We may limit, suspend, reject or terminate high-risk use based on security, compliance, partner or regulatory requirements.
7. Compliance, risk control and cooperation
- Merchants must cooperate in providing KYC/KYB, business proof, transaction descriptions, website information, beneficial owners, licenses or other compliance materials.
- If transactions, orders or fund flows are abnormal, merchants must cooperate in investigation, materials supplementation, refunds, freezes, chargebacks, complaints or regulatory inquiries.
- Merchants may not split, disguise, hide or change the true business type to avoid review, fees, limits or risk controls.
- If partners, banks or regulators require, we may adjust APIs, limits, available services, settlement arrangements or integration conditions.
8. Fees, settlement and tax
- Prices, plans, fees or capability descriptions on the website are for reference only; actual fees are subject to quotation or formal agreement.
- Settlement cycles, transaction fees, refunds, chargebacks, deposits, balance requirements, exchange rates, accounting and invoices are governed by agreements between the parties.
- Changes by banks, payment networks, partners or regulations may affect merchant costs.
- Merchants are responsible for their own business, income, cross-border transactions and tax reporting.
9. Third-party services and bank networks
- Some capabilities depend on banks, payment institutions, clearing networks, cloud services, communication tools, risk services or other third-party systems.
- Third-party services may experience delays, interruptions, maintenance, rule changes, processing refusal or inconsistent data responses.
- We will assist investigation within reasonable scope but are not liable beyond what the law allows for actions outside our control.
10. Intellectual property and confidentiality
- The ucake website, design, copy, API documentation, code examples, brand assets and technical materials belong to ucake or relevant right holders.
- Without authorization, you may not copy, modify, distribute, sell, rent, publicly display, use for competing products or remove rights notices.
- Non-public business, pricing, API, key, technical solution and transaction information obtained by either party should be kept confidential.
- Bank, partner and third-party logos or names belong to their respective owners and are used only to describe support or cooperation scope.
11. Data and privacy
- We process contact information, integration information, logs and necessary transaction data according to the Privacy Policy and applicable data processing terms.
- Merchants must ensure data provided to ucake or transmitted through APIs has lawful sources, necessary authorization and appropriate notices.
- Merchants should not transmit unnecessary sensitive personal data, full card credentials, passwords or unrelated data through API fields.
- If formal cooperation involves complex data processing, the parties may sign a data processing agreement or supplementary terms.
12. Availability and changes
- We use reasonable efforts to maintain the stability of the website, documentation, APIs and related services but do not guarantee uninterrupted or error-free service.
- We may adjust, suspend or discontinue capabilities due to maintenance, upgrades, security, risk control, bank rules, regulatory requirements or partner changes.
- For material changes, we will try to notify affected partners through the website, documentation, email or other reasonable methods.
13. Disclaimer and limitation of liability
- Website content and documentation are provided “as is”; except as expressly committed in a formal agreement, no availability, merchantability, fitness or error-free warranty is given.
- To the extent permitted by law, we are not liable for indirect losses, lost profits, loss of goodwill, data loss, business interruption or losses caused by third parties.
- Liability caps, indemnity, SLA, exclusions and dispute resolution for formal cooperation are governed by signed written agreements.
14. Suspension, termination and survival
- If you violate these terms, laws, partner rules or engage in high-risk conduct, we may suspend access, limit APIs, require remediation or terminate services.
- After termination, merchants remain responsible for reconciliation, refunds, disputes, confidentiality, data protection and payment obligations already incurred.
- Termination does not affect rights, obligations and liabilities arising before termination.
15. Updates and contact
- We may update these terms according to product, business, legal, regulatory or partner requirements.
- Updated terms will be posted on the website and take effect from the date stated on the page or the posting date.
